Terms and conditions of service
1. General provisions
1.1 Any sale on the Website constitutes a distance contract concluded by electronic means and is governed by the legislation applicable to electronic commerce, in particular Legislative Decree No. 70 of 9 April 2003.
1.2 These General Terms and Conditions of Sale (“Terms”) apply to all sales made by EUROPE DISTRIBUTION TRADE D.O.O. (hereinafter, the “Company”) through the Website. Unless otherwise indicated, time periods shall be understood as business days, excluding Saturdays, Sundays and national holidays.
1.3 The Terms may be amended at any time. Amendments shall apply from their publication on the Website and shall not affect orders already confirmed. Before each purchase, consult the current version.
1.4 The applicable Terms are those in force on the date the order is submitted.
1.5 These Terms do not govern any third-party services or sales that may be available on the Website through links or banners. Always check the third parties’ terms and conditions. The Company is not responsible for content, errors, omissions or violations of law on third-party websites.
1.6 The User must carefully read the Terms and any additional information provided on the Website, including during the purchasing process.
1.7 The handling of transport damage, non-conformity, reports, returns and refunds is governed by the “Returns, Damage and Refunds” policy, which forms an integral part of these Terms. In the event of any conflict, the provisions of said policy shall prevail with respect to the matters governed therein.
1.8 The time limits set out in the “Returns, Damage and Refunds” policy are expressed in hours and/or calendar days, unless otherwise indicated in that policy, and prevail over the provisions of these Terms with respect to the matters governed therein.
2. Purchases on the Website
2.1 Sales through the Website are reserved exclusively for businesses and professionals (B2B) purchasing in the course of their business, commercial, craft or professional activities. The Customer must provide its company name and VAT number or equivalent tax identification number applicable in its country. Purchases as a private consumer are not accepted.
2.2 The Company may refuse, cancel or limit orders that are abnormal in terms of quantity and/or frequency.
2.3 The Company may refuse or cancel orders originating from: (i) Customers involved in ongoing disputes; (ii) Customers in breach of the Terms; (iii) Customers providing false, incomplete or inaccurate data, or who have not timely provided requested documents, or have submitted invalid documents.
2.4 The sale of alcoholic products is reserved for persons over 18 years of age; by placing the order, the Customer declares that they meet the required age and that the recipient is an adult. The courier may request an identity document and refuse delivery if verification is not provided or if there are reasonable doubts.
2.5 The Company reserves the right to request information and/or documents suitable for verifying the professional nature of the purchase and, in the event of missing, incomplete, inaccurate, or unprovided data, to refuse, suspend, or cancel the order.
3. Registration on the Website
3.1 Access to the account takes place according to the Shopify procedure available on the Website, using the email address and access code sent to the User or any other methods actually offered. Creating a password is not necessarily required.
3.2 The User must promptly inform the Company of any improper use or unauthorized disclosure of the credentials.
3.3 The User warrants that the information provided is true, accurate, and complete and indemnifies the Company against damages, costs, or penalties arising from violations of the registration rules and/or the provision of false, incomplete, or inaccurate data. The Company may disable the account in the event of violations.
4. Conclusion of the contract
4.1 To complete the purchase, the User completes and submits the order form by following the instructions on the Website.
4.2 The order is deemed accepted and the contract concluded upon authorization of payment of the total amount due; in the case of bank transfer, upon actual receipt of the funds. The Company sends an email confirmation summarizing the products, total price, payment method, applicable taxes, and costs. Any automated email acknowledging receipt of an order for which a bank transfer has not yet been credited does not replace payment.
4.3 The order remains archived in the Company's system and may be viewed by the User in their account, where available.
4.4 If the manufacturer notifies the Company that an item is unavailable after acceptance, the Company informs the Customer and refunds the amounts relating to the unfulfillable portion and any costs not due, or proposes a replacement to be agreed with the Customer. No unilateral substitutions are made.
5. Product sheets and images
5.1 Each product is accompanied by a product sheet describing its main characteristics on the basis of information provided by the manufacturers. Images and descriptions reproduce the products as faithfully as possible. The obligations regarding the availability of mandatory food information before the completion of the purchase, in the cases provided for by applicable legislation, shall remain unaffected.
5.2 The colours and dimensions displayed may vary due to device settings or normal usage tolerances. The images are illustrative and may show accessories not included.
5.3 Products are normally supplied with original labelling in Italian. Upon a request made before the order, Sicily’s Finest Food guarantees the availability of a translation of the information shown on the label, agreeing with the Customer on the language and method of delivery. The availability of the translation does not automatically entail the application of physical multilingual labels. The labelling and food information obligations applicable in the country of sale shall remain unaffected.
6. Prices
6.1 The prices indicated on the Website exclude VAT unless otherwise indicated. The application of VAT or other tax regimes depends on the nature and conditions of the individual transaction.
6.2 The Company may modify prices at any time; the price published when the User submits the order shall prevail.
6.3 GLS Parcel shipping charges and other applicable costs are calculated and communicated at checkout before payment. The cost of the shipping originally purchased is final and is not subject to subsequent additions. Any documented costs for additional services caused by an incorrect address, failure to receive the shipment, or storage attributable to the recipient, pursuant to the Shipping and Delivery page, shall remain separate.
7. Purchase orders, fulfilment and shipments
7.1 All orders are confirmed by email. Fulfilment, understood as the handover of the goods to GLS, takes place within 7 business days of actual payment. This period does not include transport times. In the event of unavailability or impediments, the Company shall promptly inform the Customer, applying the remedies provided for in these Terms and Conditions.
7.2 A single order may comprise products from different suppliers and logistics locations and may be divided into multiple GLS Parcel shipments, with separate packages, tracking numbers, and delivery dates. For reports and authorized returns, the Customer shall identify the relevant shipment and package where available. Shipments are made exclusively to destinations enabled at checkout.
7.3 Invoices are issued by EUROPE DISTRIBUTION TRADE D.O.O. The Customer shall provide complete and accurate company details, billing address and tax identification numbers. For Italian customers, the reverse charge shall apply where the conditions provided for by law are met; for other transactions, the tax treatment applicable to the relevant supply and destination shall apply. As a general rule, a Recipient Code or PEC is not required as a condition for the Croatian company's issuance of the invoice.
7.4 Orders awaiting bank transfer are not processed before the funds are credited. In the absence of payment, the order may be cancelled, unless otherwise agreed in writing and without prejudice to the provisions of Section 4.2.
8. Payment methods
8.1 Credit, debit or prepaid cards and advance bank transfer are accepted. Apple Pay, Google Pay and Shop Pay may be used when enabled and available at checkout.
8.2 Bank transfer: to facilitate processing, the Customer may send the payment receipt within 24 hours to info@sicilyfinestfood.it stating the CRO/TRN of the transaction. Shipment shall take place only after the funds have actually been credited. Failing this, the order may be cancelled.
9. Force majeure liability
9.1 The Company shall not be liable for breaches or delays caused by force majeure or events beyond its reasonable control, including, by way of example: natural events, epidemics, wars, strikes, lockouts, blackouts, network or data centre failures, measures taken by authorities, transport bans, and courier delays.
9.2 In such cases, performance shall be suspended for the duration of the event. The Company shall inform the Customer as soon as reasonably possible and shall take appropriate measures to limit the effects.
9.3 Without prejudice to mandatory statutory limits, the Company's liability to the Customer for direct and foreseeable damages arising from breach of contract shall not exceed the total amount paid by the Customer for the relevant order. Indirect or consequential damages are excluded. These limitations shall not apply in cases of wilful misconduct or gross negligence, personal injury or product liability under applicable law.
10. Warranty (sales between professionals)
10.1 Sales between professionals are governed by the provisions of the Civil Code concerning sales, including those relating to the warranty for defects, non-conformity and lack of quality (Articles 1490 et seq. of the Civil Code), and the time limits for notice and limitation (Article 1495 of the Civil Code).
10.2 The handling of transport damage, non-conformities, reports, returns, and refunds is governed by the “Returns, Damage and Refunds” policy, which forms an integral part of these Conditions. In the event of conflict, the provisions of that policy prevail for the matters governed therein.
11. Intellectual property and trademarks
11.1 All Site contents (texts, images, trademarks, logos, graphics, layout, code, software, databases, domain names) are owned by the Company or the respective rights holders and are protected under copyright, trademark, and other intellectual property laws.
11.2 Any reproduction, modification, distribution, communication to the public, publication, data extraction, decompilation, or reverse engineering of the Site's contents, in whole or in part, is prohibited without the Company's or the respective rights holders' prior written authorization.
11.3 The Site and its contents may be used to consult the catalogue and purchase products in the course of business, commercial, craft, or professional activities. Reproduction, systematic extraction, and unauthorized reuse of the contents are prohibited, as are framing, embedding, and use of the trademarks without authorization, without prejudice to uses permitted by law.
11.4 Trademarks, distinctive signs, and names of third parties appearing on the Site belong to their respective owners and are used solely for descriptive purposes.
12. Applicable law and jurisdiction
12.1 These Conditions and contracts concluded through the Site are governed by Italian law.
12.2 Exclusive jurisdiction of the Court of Catania is agreed for disputes relating to these Conditions and B2B contracts, to the extent permitted by applicable law and subject to compliance with the validity and formal requirements of the jurisdiction agreement. Mandatory jurisdiction provisions established by law remain unaffected.
13. Customer service and assistance
13.1 For information and commercial assistance: info@sicilyfinestfood.it; telephone +39 388 93 84 565. For orders, missing or damaged products, and authorized returns: ordini@sicilyfinestfood.it, indicating the order number and attaching photographs.
13.2 The Company will handle requests within the shortest reasonably possible time, subject to the technical time required for checks and the response times of the carriers and suppliers involved.
